By using this software, you accept these terms. If you do not accept them, do not use the software. If you comply with these license terms, you have the rights below.
1. SOFTWARE USE RIGHTS.
“Software” means computer software or associated media, printed materials, and inline or electric documentation distributed under this license agreement.
You may use, copy, compile, and create derivative works of the Software, and run the Software and Derivative Works solely for non-commercial research, experimentation, educational purposes or business purposes approved by Samsung.
Examples of non-commercial uses are teaching, academic research, public demonstrations, and personal experimentation. “Derivative Works” means modifications to the software, in source code or object code form, made by you pursuant to this agreement.
2. TERM AND CHANGES TO THE AGREEMENT
This agreement will continue indefinitely unless terminated as provided herein. Notwithstanding the foregoing, Samsung may, in its sole discretion, terminate this agreement without cause upon thirty (30) days written notice. Upon termination, the licenses granted to you in this agreement will terminate as well.
Samsung may make changes to the License Agreement as it distributes new versions of the Software. When these changes are made, Samsung will make a new version of the License Agreement available on the website where Software is made available
3. SCOPE OF LICENSE.
The Software is licensed, not sold. This agreement only gives you some rights to use Software, and you may use Software only as expressly permitted in this agreement. Samsung reserves all other rights. You may not transfer Software or this agreement to any third party. If you create Derivative Works, you grant to Samsung a non-exclusive, perpetual, irrevocable, royalty-free, assignable, sublicenseable license to reproduce, distribute, publicly display, modify, use, make, have made, import, and sell such Derivative Works.
4. RESTRICTIONS.
You may not incorporate with any open source software or any 3rd party software which require Software to be disclosed or licensed freely to third parties or public with free of charge. You may not use Software for any purpose not expressly permitted by the License Agreement. Except to the extent required by applicable third party licenses including open source license, you may not decompile, reverse engineer, or disassemble Software. You may not use or test Software to provide a commercial service unless Samsung permits you to do so with prior written approval.
5. APPLICABLE LAW.
This Agreement is governed by and construed in accordance with the laws of Republic of Korea without regard to its conflict of laws provisions. You and Samsung agree to submit to the exclusive jurisdiction of the courts located within Seoul, Republic of Korea to resolve any legal matter arising from the License Agreement.
6. DISCLAIMER OF WARRANTY.
The software is licensed “as-is.” You bear the risk of using it. Samsung gives no express warranties, guarantees or conditions. Samsung disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. LIMITATION AND LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT SAMSUNG, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES THAT MAY BE INCURRED BY YOU, INCLUDING ANY LOSS OF DATA, WHETHER OR NOT SAMSUNG OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.
